SEC declares Agility's Churchill S-4 effective

On October 13, 2026 Churchill Capital Corp XI said in a Form 8-K that the SEC declared effective Form S-4 file 333-298781 for its combination with Agility Robotics. The shareholder meeting is set for November 2, 2026 at 9:00 a.m. Eastern, and Agility still expects a November close under the ticker AGLT if shareholders approve. Expected gross proceeds remain more than $620 million, including about $424 million in the trust account if no public shares are redeemed.
