What's Next

Close the Churchill XI SPAC

The deal is signed at $2.5 billion pre-money with more than $620 million of expected gross proceeds, but it still needs S-4 effectiveness, a Churchill shareholder vote, exchange listing approval, and a close before the documented year-end walk-away. Redemptions can shrink the cash. The S-4 going-concern note is why this is the near-term survival milestone, not just a listing trophy.

Start Digit 5 early access

Digit 5 is unveiled with H1 2027 early access and end-2027 general availability. Converting the $300 million-plus milestone-gated order into robots that ship, and proving cooperative safety on a live floor without cages, is the product half of the SPAC story.

On June 24, 2026 Agility and Churchill XI announce a business combination at a $2.5 billion pre-money equity value, expecting more than $620 million of gross proceeds including an about $200 million Foxconn-led PIPE, with the combined company to list as AGLT. Existing Agility holders roll 100% of equity. Close is targeted in 2026, subject to a Churchill shareholder vote, S-4 effectiveness, and other conditions, with a December 31 walk-away date in the deal documents.

2025Digit crosses 100,000 totes at GXO

In November 2025 Agility says Digit has moved more than 100,000 totes at GXO Flowery Branch at about 98% on-task accuracy, the first six-figure tote milestone it has published for a live customer site.

2024First humanoid RaaS contract, with GXO

On June 27, 2024 GXO and Agility sign a multi-year robots-as-a-service agreement to put Digit into GXO's Spanx facility in Flowery Branch, Georgia, which Agility calls the first formal commercial humanoid deployment and first humanoid RaaS deal.

2023Industrial Digit and RoboFab

A warehouse-oriented Digit is shown at ProMat 2023. Agility then announces RoboFab in Salem, Oregon, a humanoid factory designed for up to 10,000 units a year. Amazon begins testing Digit in its facilities later that year.

2022$150M Series B with Amazon

In April 2022 Agility raises a $150 million Series B led by DCVC and Playground Global, with Amazon's Industrial Innovation Fund participating, to push Digit into warehouses.

2017Digit V1 released

Agility adds a torso, arms, and perception to Cassie and releases Digit as a research humanoid. Ford later buys early units to explore last-mile delivery.

2016Cassie research biped goes on sale

Cassie, a biped with no torso, is sold as a research platform. It later sets a Guinness World Record for a 100-meter run by a bipedal robot.
